Shandong Province Arts and Crafts Association of Shandong Province Arts and Crafts Association Charter

Article 1 The full name of this Association is "Arts and Crafts Association of Shandong Province" (hereinafter referred to as "the Association"), the English name "Arts Association of ShanDong" abbreviation. "Abbreviation for AASD.

Second The Association is the province's arts and crafts industry enterprises, institutions as the main body, voluntarily composed of cross-region, cross-ownership of the province's social organizations, social groups, legal persons.

Article 3 The purpose of the Association is to adhere to the basic line of the Party, to adapt to the socialist market economic system and the requirements of modernization, to play the role of bridge and link between the government and enterprises, and zealously serve the enterprises and industries, and strive to improve the scientific and technological level of the arts and crafts industry and the level of economic management, to promote the development of the arts and crafts industry, and the prosperity of the province's arts and crafts business.

Article IV The Association's business department for the Shandong Province Light Industry Collective Enterprises Association, in the provincial Civil Affairs Department approved registration. Article 5 The Association's residence is located in Jinan City, Shandong Province, No. 92 Heroes Hill Road. Article 6 The business scope of the Association is:

Where engaged in arts and crafts production, sales, legal person qualification in accordance with the law of enterprises and scientific research, design, education, schools and other relevant units or related social organizations, recognizes the Articles of Association, may apply for membership as a group member.

The entrepreneurs and arts and crafts experts and technicians who have made contributions to the development of arts and crafts in our province can apply in writing and be approved by the Association to become individual members.

Any experts and scholars, social celebrities and overseas Chinese who are keen to help the development of arts and crafts in our province can be hired by the Association as honorary members.

Article VIII Members applying for membership in the Association must have the following conditions:

(1) uphold the Association's constitution;

(2) have the will to join the Association;

(3) have a certain degree of influence in the Association's field of business (industry, discipline).

Article 9 The procedures for membership are:

(1) Submission of an application for membership;

(2) Discussion and approval by the Board of Directors;

(3) Issuance of a membership card by the Board of Directors or a body authorized by the Board of Directors.

Article X. Members shall enjoy the following rights:

(1) the right to elect, be elected and vote in the Association;

(2) to participate in the activities organized by the Association;

(3) to have priority in enjoying the relevant journals and materials published by the Association as well as the services provided;

(4) to reflect the relevant situation to the Association and to provide information on production, technology, enterprise management and other information and management experience.

Article 11 Members shall fulfill the following obligations:

(1) to abide by the Articles of Association and implement the resolutions of the Association;

(2) to safeguard the lawful rights and interests of the Association;

(3) to actively participate in the business activities organized by the Association and to complete the tasks entrusted to them by the Association;

(4) to reflect the relevant situations to the Association and to provide information on production, technology, enterprise management and other aspects;

Article 19 The Board of Directors shall require more than two-thirds of the votes to be effective.

Article 20 The Council shall meet at least once a year, or by correspondence in special circumstances.

Article 21 The Association shall establish a Standing Council (if the number of the Council is large, there may be a Standing Council). Standing Council elected by the Board of Directors, in the inter-sessional period between the Board of Directors to exercise the powers and functions of Article 18, paragraph 1, 3, 5, 6, 7, 8, 9, responsible to the Board of Directors (the number of executive director does not exceed one-third of the number of directors).

Article 22 The Standing Council shall be convened with the attendance of more than two-thirds of the executive members, and its resolutions shall be effective only after the vote of more than two-thirds of the executive members present.

Article 23 The Standing Council shall be convened at least once every six months, and in special cases, it can also be convened by correspondence.

Article 24 The chairman, vice-chairman and secretary-general of the Association must have the following conditions:

(1) adherence to the basic line of the Party, guidelines, policies, and good political quality;

(2) have a greater impact in the business field of the Association;

(3) chairman, vice-chairman and secretary-general of the Association is full-time;

(4) (d) they are in good health and can insist on normal work;

(e) they have not been subjected to criminal punishment of deprivation of political rights;

(f) they have full capacity for civil behavior;

Article 25 If the chairman, vice-chairman, or secretary-general of the Association exceeds the maximum age of office, they shall be voted by the Board of Governors, and shall be reported to the business administration unit for examination and approved by the association registration authority before they can assume the office. They may hold office only after they have given their consent.

Article 26 The chairman, vice-chairman and secretary-general of the Association shall hold office for a maximum of two terms. If the term of office needs to be extended due to special circumstances, it shall be voted by more than two thirds of the members (or member representatives) of the general meeting (or member representative meeting), and reported to the business unit in charge for examination and approval by the administrative organ of the registration of associations before taking up the post.

Article 27 The chairman of the Association shall be the legal representative of the Association. The legal representative of the Association does not concurrently serve as the legal representative of other social organizations.

Article 28 The chairman of the Association shall exercise the following powers and functions:

(1) to convene and preside over the Council (or the Executive Council);

(2) to check the implementation of the resolutions of the General Meeting of the members (or the General Meeting of the members' representatives) of the Council (or the Executive Council);

(3) to sign relevant important documents on behalf of the Association.

Article 29 The secretary-general of the Association exercises the following powers and functions;

(1) to preside over the offices to carry out the daily work and organize the implementation of the annual work plan;

(2) to coordinate the work of the various branches, representative offices and entities;

(3) to nominate candidates for the deputy secretary-general as well as the principal persons in charge of the offices, branches, representative offices and entities to be submitted to the Council or the executive committee. (c) Nominate candidates for deputy secretaries-general and full-time staff of offices, branches, representative organizations and entities for decision by the Council or the Standing Council:

Article 31 The local associations set up by the cities themselves may participate in the Association as group members. Article 32 The Association shall be financed by:

(1) dues paid by members;

(2) donations from all sectors of the society;

(3) governmental subsidies;

(4) revenues from the activities or services carried out within the approved scope of business.

Article 33 The Association collects membership fees in accordance with relevant state regulations.

Article 34 The funds of the Association must be used for the business scope and career development as stipulated in the Articles of Association, and may not be distributed among the members.

Article 35 The Association establishes a strict financial management system to ensure that the accounting information is legal, true, accurate and complete.

Article 36 The Association is equipped with accountants with professional qualifications. The accountant shall not act as cashier at the same time. Accounting personnel must carry out accounting, accounting supervision. When accounting personnel transfer their jobs or leave their jobs, they must clear the handover procedures with the receiver.

Article 37 The Association's asset management must implement the financial management system prescribed by the state, and accept the General Assembly (or the General Assembly) and the supervision of the financial sector. The source of assets belonging to the state appropriations or social donations, subsidies must accept the supervision of the audit organs, well will be the relevant information in an appropriate manner to the community.

Article 38 The Association must accept the financial audit organized by the registration authority of the association and the business unit before the change of term or change the legal representative.

Article 39 The assets of the Association shall not be appropriated, privatized or misappropriated by any unit or individual.

Article 40 The salaries, insurance and welfare of the full-time staff of the Association shall be implemented with reference to the relevant provisions of the state for institutions. Article 40- Amendments to the Articles of Association shall be reported to the general meeting (or the general meeting of members) for consideration after being voted on and approved by the Board of Directors.

Article 42 The revised constitution of the Association shall be examined and approved by the business administration unit within 15 days after it is passed by the general meeting (or the general meeting of the members' representatives) and reported to the registration authority of the association for approval before it comes into effect. Article 43 If the Association completes its purpose or dissolves itself or needs to be canceled due to separation or merger, the Board of Directors or the Standing Committee shall propose a motion of termination.

Article 44 The motion of termination of the Association shall be voted by the general meeting of the members (or the general meeting of the members' representatives) and reported to the business administration unit for examination and approval.

Article 45 Before the termination of the Association, a liquidation organization shall be set up under the guidance of the business supervisory unit and the relevant authorities to liquidate the debts and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Article 46 The Association shall be terminated after the cancellation of registration procedures by the administrative organs of association registration.

Article 47 The remaining property of the Association after the termination shall be used for the development of undertakings related to the purposes of the Association in accordance with the relevant provisions of the state under the supervision of the business supervisory unit and the administrative organ for registration of associations. Article 48 The Articles of Association were adopted by the members on January 31, 2003 by correspondence vote.

Article 49 The interpretation of these Articles of Association shall be vested in the Board of Directors of the Association.

Article 50 The present constitution shall come into effect on the date of approval by the organization's registration authority.
