Articles of Association of China Electronic Commerce Association
general rule
Article 1 In order to ensure the standardized operation of the China Electronic Commerce Association PCEM (hereinafter referred to as PCEM) and promote the healthy development of online marketing in China, these Provisions are formulated in accordance with the Articles of Association of China Electronic Commerce Association and the Measures for the Administration of the Registration of Branches and Representative Offices of China Electronic Commerce Association.
Article 2 This professional committee shall abide by the Constitution, laws, regulations, national policies and the Regulations on the Administration of Registration of Social Organizations, and engage in various activities within the scope stipulated in the articles of association of China Electronic Commerce Association.
Article 3 This professional committee is a branch of China Electronic Commerce Association, and its English name is: Electronic Marketing Professional Committee of China Electronic Commerce Association (PCEM). Its business is directly led by China Electronic Commerce Association, and all its actions must conform to the provisions of the Measures for the Administration of Registration of Branches and Representative Offices of China Electronic Commerce Association.
Article 4 This professional committee adheres to the principles of seeking truth from facts, paying attention to practical results and democratic consultation to carry out all work.

Responsibilities and business scope
Article 5 The Network Marketing Professional Committee of China Electronic Commerce Association (PCEM) is an industry self-regulatory association branch in the field of network marketing in China. Its functions are: relevant online marketing manufacturers, service providers, application enterprises, research, education and academic institutions, relevant media and professionals in the United Nations, popularizing online marketing knowledge, researching, analyzing and summarizing innovative methods, means and ideas of online marketing, strengthening horizontal exchanges, discussions and cooperation in the field of online marketing, and supporting and promoting enterprises.
Article 6 Under the authorization and guidance of China Electronic Commerce Association, this professional committee carries out the following work:
Universal Education: Summarize the practice and theoretical innovation in the field of online marketing at home and abroad, and promote the popularization and exchange of online marketing knowledge in China through websites, media, papers, conferences, forums, selection, training, visits and other channels, forms and activities, so as to promote the e-commerce process in China, especially to improve the Internet application level of traditional enterprises in China. Standardize service: according to the development needs of e-commerce and online marketing in China, organize the formulation, improvement and implementation of service items, service systems, quality standards, self-discipline conventions and development norms of online marketing service providers, and actively promote the construction of a harmonious atmosphere and credit system for online marketing. Set up a regional network marketing service center with professional committees to serve, support, guide and supervise, formulate unified systems, standards and norms, strictly control, prudently develop, carefully supervise and strengthen management, and build a brand organization of network marketing services; Market maintenance: record, analyze, study and track the modes, methods and market behaviors of enterprises in implementing and applying online marketing, and promote the benign development of online marketing operating environment through third-party supervision and information disclosure; Set a benchmark: promote the harmonious atmosphere, credit system and innovative brand building of online marketing by commending advanced product service providers, service organizations, application enterprises, practitioners and experts in the field of online marketing; Complaint supervision: accepting complaints from enterprises, service providers and contracting units of conventions and norms, coordinating dispute settlement, safeguarding the rights and interests of all parties and eliminating adverse effects. Promote the construction of harmonious atmosphere, credit system and operating environment of online marketing through industry self-discipline, third-party supervision and risk early warning; Protection of rights and interests: safeguard the legitimate rights and interests of enterprises that implement and apply online marketing, and organize the protection of investment rights and interests of enterprises, professional ethics education and legal and regulatory training. Benign competition: through publicity, guidance, standardization and coordination, we can avoid and deal with vicious competition in professional fields and ensure the sustained, rapid and stable development of online marketing. Education and Training: Establish talent standards and vigorously cultivate internationalized, high-quality and compound network marketing talents needed to promote the sustained and rapid growth of China's national economy. Express opinions and opinions on behalf of enterprises in the field of online marketing, actively communicate with the government and relevant departments of the association, and complete the service work of industry self-discipline and development required by associations, government agencies, industry enterprises and other institutions. Other matters assigned by government departments and China Electronic Commerce Association and entrusted by members.

Article 7 The members of this professional committee are divided into unit members and individual members, all of whom are members of China Electronic Commerce Association.
Article 8 The conditions for applying to join this professional committee, the procedures for joining, the rights and obligations enjoyed by members shall be implemented with reference to Articles 8 to 13 of Chapter III of the Constitution of China Electronic Commerce Association.

Organization and operation management
Article 9 The organizational structure of this professional committee consists of a general meeting of members, a standing committee and a secretariat.
Article 10 The highest authority of this professional committee is the members' congress.
Article 11 The functions and powers of the general meeting of members are:
According to the Articles of Association of China Electronic Commerce Association and the Measures for the Administration of the Registration of Branches and Representative Offices of China Electronic Commerce Association, formulate and revise the work articles of association of this Committee; To elect and recall members of the Standing Committee; To consider the work report and financial report of the Standing Committee; To decide on the working principles and tasks of professional committees; To decide on the termination of professional committees and other major matters. Article 12 A member congress can only be convened when more than two thirds of the members (or member representatives) are present, and its resolutions can only take effect when more than half of the members (or member representatives) present at the meeting vote.
Thirteenth Standing Committee is the executive body of the general assembly (or congress), leading the professional committee to carry out daily work during the intersessional period and being responsible for the general assembly (or congress). The Standing Committee shall be elected by the general assembly (or congress) among the members who have applied in advance, and the Standing Committee of the unit member shall be recommended by the unit.
Article 14 The functions and powers of the Standing Committee are:
To implement the resolutions of the members' congress; Prepare for the convening of a member congress; Report the work and financial situation to the members' congress; The absorption or removal of predetermined members; To decide on the appointment of support staff in the secretariat; Leading the work of professional committees; Formulate internal management system; Decide on other major matters. Fifteenth changes in the Standing Committee shall be implemented in accordance with the relevant provisions of the Measures for the Administration of the Registration of Branches and Representative Offices of China Electronic Commerce Association.
Article 16 The Standing Committee shall convene a meeting at least once a year. Under special circumstances, it can also be convened by communication.
Article 17 A meeting of the Standing Committee shall be held only when more than two thirds of the members of the Standing Committee are present, and its decision shall take effect after being voted by more than two thirds of the members of the Standing Committee present at the meeting.
Article 18 The president, executive vice president, vice president and secretary general of this professional committee must meet the following conditions:
Adhere to the party's line, principles and policies and have good political quality; Have great influence in the business field of this professional Committee; The maximum working age of the president, vice-president and secretary-general shall not exceed fifty years old; Good health, able to stick to normal work and have some community work experience; Not deprived of political rights; Have full capacity for civil conduct. Article 19 The term of office of the president, executive vice president, vice president and secretary general of this professional committee shall be implemented in accordance with the relevant provisions of the Measures for the Administration of the Registration of Branches and Representative Offices of China Electronic Commerce Association.
Twentieth professional committees employ prestigious experts and scholars as perennial consultants or expert members of the Committee to give professional guidance to the work of the professional committees.
Article 21 The director of this professional committee shall exercise the following functions and powers:
To convene and preside over the meetings and work of the Standing Committee; Check the implementation of the resolutions of the members' congress and the Standing Committee; Sign relevant important documents on behalf of professional committees. Article 22 The secretariat of this professional committee is the permanent office of this Association, with a secretary-general and a number of supporting staff. The Secretary-General shall exercise the following powers:
Preside over the daily work of the office and organize the implementation of various work plans and tasks stipulated in Article 6 of Chapter II; Organize member institutions to carry out activities conducive to the development of the industry and the interests of members; Put forward suggestions on employing auxiliary personnel, and handle relevant employment procedures after approval by the Standing Committee; Responsible for supervising the operation of funds of professional committees; Responsible for handling other daily affairs. Article 23 All activities carried out by the above-mentioned organizations and professional committees shall strictly follow the procedures stipulated by China Electronic Commerce Association, and shall not act beyond the procedures without authorization. At the same time, accept and strictly perform the obligations stipulated in Articles 12, 13 and 14 of Decree No.23 of the Ministry of Civil Affairs of the People's Republic of China and Article 4 of the Measures for the Administration of the Registration of Branches and Representative Offices of China Electronic Commerce Association.

Sources and management of funds
Article 24 Sources of funds
Membership fees returned by China Electronic Commerce Association to professional committees; Legal income from activities or services provided within the approved business scope; Accept donations, grants and other income; Interest; Other lawful income. Article 25 Fund management shall be implemented in accordance with Article 9 of Order No.23 of the Ministry of Civil Affairs of the People's Republic of China and Article 5 of the Measures for the Administration of the Registration of Branches and Representative Offices of China Electronic Commerce Association.
Twenty-sixth professional committees collect membership fees in accordance with the relevant provisions of the state.
Article 27 the use of funds
Spending on academic activities, membership rights or regulating the development of online marketing shall not be used for other purposes; Pay management fees to the association; The wages and insurance benefits of the staff of this professional Committee shall be implemented with reference to the relevant provisions of the state. Twenty-eighth professional committees should establish a strict financial management system in accordance with the relevant provisions of the state to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 29 The asset management of this professional committee shall implement the relevant national rules and regulations on financial management, and accept the supervision of the general meeting (or representative meeting) and the association. Where the source of assets belongs to state grants or social donations or subsidies, it shall be subject to the supervision of audit institutions and the relevant information shall be announced to the public in an appropriate way.
Thirtieth the use of bills of China Electronic Commerce Association shall be implemented in accordance with the Measures for the Administration of Bills of China Electronic Commerce Association.
Article 31 No unit or individual may occupy, privately divide or misappropriate the assets of the professional committee.
Chapter vi
Supplementary rules
Article 32 The power to interpret these Regulations belongs to the Standing Committee of this professional committee.
Article 33 These working rules shall come into force after being approved by China Electronic Commerce Association, and shall be implemented as of the date of formal registration and establishment of this professional committee.
