Articles of Association of Shenzhen Hunan Chamber of Commerce

Article 1 The name of this Chamber of Commerce is Shenzhen Hunan Chamber of Commerce.

Article 2 This Chamber of Commerce is a non-profit local social organization composed of Hunan enterprises and institutions in Shenzhen, offices of cities and counties in Hunan Province in Shenzhen, and Hunan private entrepreneurs and outstanding enterprise managers in Shenzhen.

Article 3 The Chamber of Commerce adheres to the purpose of serving its members wholeheartedly, and is committed to building a good development platform for its members to learn information, make friends, expand business opportunities, share resources, complement each other's advantages and seize success. The Chamber of Commerce will provide an activity place for Hunan enterprises in Shenzhen and Hunan entrepreneurs, senior managers, business people, experts and scholars working in Shenzhen, Hong Kong and Macao to exchange information, carry out academic discussions, strengthen cooperation and enhance friendship, and explore, study and disseminate modern management theories and advanced experiences of relying on scientific and technological progress to develop the economy at home and abroad. The Chamber of Commerce was established in accordance with relevant laws, abided by national laws and regulations and social ethics, and served to improve the management level and economic benefits of enterprises in Shenzhen, Hunan.

Article 4 The Chamber of Commerce shall accept the business guidance, supervision and management of the Shenzhen Office of Hunan Provincial People's Government and the Shenzhen Municipal Administration of Civil Organizations, the registration authority.

Article 5 The address of this Chamber of Commerce is: Floor 4, Furong Hotel, Dongmen South Road, Luohu District, Shenzhen City, Guangdong Province. Article 6 Business scope of the Chamber of Commerce

(a) around the economic system reform, especially the establishment of modern enterprise system and enterprise management issues, organize special investigations and studies, provide reference and suggestions for the government's macro-decision, and be a good staff and assistant to the government.

(two) hold lectures on enterprise management, organize economic academic reports, and invite relevant experts and scholars to give lectures; Summarize, exchange and promote the theoretical achievements and practical experience of enterprise management of member units and Shenzhen Special Economic Zone, introduce the management modes and practices of enterprises in Hong Kong, Macao and abroad, and try to practice and operate according to the actual situation of enterprises in Shenzhen, Hunan.

(3) Provide a platform for communication and dialogue between enterprises and government departments in Hunan and Shenzhen, integrate civil, government and various social resources, and establish and improve the communication, consultation and dialogue mechanism between government and enterprises.

Coordinate the relationship between members, promote exchanges and cooperation between enterprises, and safeguard the legitimate rights and interests of members and operators.

(6) The publishing house will regularly publish Hunan Merchants in the Special Zone (revised by friends of the original members), edit and publish business management books and periodicals from time to time, and organize information exchange.

(7) Organize networking activities for Hunan enterprises stationed in Shenzhen, Hunan people working in Shenzhen, Hong Kong, Macao and all walks of life, and build a high-end communication platform for members. Article 7 Members of this Chamber of Commerce are divided into group members and individual members.

Article 8 A member applying to join this Chamber of Commerce must meet the following conditions:

(1) Support the articles of association of this Chamber of Commerce;

(2) voluntarily joining this Chamber of Commerce;

(three) have a special study on enterprise management, or have some work experience in practical work.

Economic workers who test and influence society;

(four) care for and support the economic construction and social progress of Hunan and Shenzhen;

(5) Actively participate in various activities of this Chamber of Commerce.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(2) The Secretariat of the Chamber of Commerce conducts qualification examination and reports it to the Council for discussion and approval;

(3) Membership cards shall be issued by the Secretariat of the Chamber of Commerce according to the authorization of the Council.

Article 10 Members shall enjoy the following rights:

(1) Having the right to vote, to be elected and to vote in this Chamber of Commerce;

(2) Participating in relevant activities organized by this Chamber of Commerce;

(3) giving priority to providing relevant materials, books, periodicals, information and services provided by the Chamber of Commerce;

(four) to put forward suggestions, criticisms and supervision on the work of this Chamber of Commerce;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(1) Implementing the resolutions of this Chamber of Commerce;

Maintain the image, reputation and legitimate rights and interests of this Chamber of Commerce;

(three) to complete the work assigned by the Chamber of Commerce;

(four) to pay membership fees in accordance with the provisions;

(five) concerned about the work of the Chamber of Commerce, timely reflect the situation to the Chamber of Commerce and provide relevant information.

Article 12 A member who withdraws from the meeting shall notify the Secretariat of the Chamber of Commerce in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the Chamber of Commerce for one year, it will be deemed as automatic withdrawal and cancellation of membership.

Article 13 If a member seriously violates the Articles of Association, he/she shall be removed from the membership by voting of the Council or the Standing Council. Article 14 The highest authority of this Chamber of Commerce is the general meeting of members, and its functions and powers are:

To formulate and amend the Articles of Association;

(2) Electing and dismissing directors and executive directors;

To review the work report and financial report of the Council;

(4) Deciding to terminate.

(5) Deciding on other major matters.

Article 15 A general meeting of members shall be held only when more than two-thirds of the members are present, and its resolution shall take effect only if it is approved by more than half of the members present.

Article 16 The general meeting of members shall be held every three years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the competent business unit for review and approved by the association registration authority. However, the longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of members, leading the Chamber of Commerce to carry out daily work when the general meeting of members is not in session, and being responsible for the general meeting of members.

Article 18 The functions and powers of the Council are:

(a) Implementing the resolutions of the General Assembly;

To elect and recall the president, vice-president and secretary-general;

(3) Preparing for convening the general meeting of members and reporting the work and financial status to the general meeting of members;

(5) Deciding to establish offices, branches, representative offices and entities;

(6) Deciding to appoint the Deputy Secretary-General and the principal responsible persons of various institutions;

(seven) to lead the work of various institutions of the Chamber of Commerce;

(eight) to formulate internal management system;

(9) Deciding on other major matters.

Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

Article 20 The Council shall meet at least once a year; Special circumstances can also be held in the form of communication.

Article 21 The Chamber of Commerce shall establish a standing council. The Standing Council is elected by the Council. When the Board of Directors is not in session, it shall exercise the functions and powers in Items (1), (3), (4), (5), (6), (7) and (8) of Article 18 and be responsible to the Board of Directors (the number of executive directors shall not exceed 65,438+0.3 of the number of directors).

Article 22 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors are present and vote.

Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.

Article 24 The president, vice-president and secretary-general of a chamber of commerce must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) Having great influence in the business field of this Chamber of Commerce;

(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 The term of office of the president, vice-president and secretary-general of the Chamber of Commerce is three years. Can be re-elected, but it must be approved by more than two-thirds of the members of the general assembly, reported to the competent business unit for approval and agreed by the community registration management agency.

Article 26 The term of office of the president, vice-president and secretary-general of the Chamber of Commerce is three years. The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be agreed by more than two-thirds of the members of the general assembly, reported to the competent business unit for review and approved by the registration authority of the association before taking office.

Article 27 The president of the Chamber of Commerce is the legal representative of the Association. Under special circumstances, the vice-president or the secretary-general shall be the legal representative, which shall be reported to the competent business unit for review and approved by the association registration authority. The president of the Chamber of Commerce shall not concurrently serve as the legal representative of other organizations.

Article 28 The president of the Chamber of Commerce shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation of the resolutions of the General Assembly, the Council and the Standing Council;

(3) Signing relevant important documents on behalf of the Chamber of Commerce.

Article 29 The Secretary General of the Chamber of Commerce shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating deputy secretaries-general and principal responsible persons of offices, branches and entities, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities; (5) Handling other daily affairs. Article 30 The sources of funds of this Chamber of Commerce are:

(1) membership fee;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 31 this chamber of commerce collects membership fees in accordance with relevant state regulations.

Article 32 The funds of this Chamber of Commerce must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 33 A chamber of commerce shall establish a strict, sound and independent financial account management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 34 This Chamber of Commerce is equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accounting personnel must carry out accounting and accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Chamber of Commerce must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. Where the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of audit institutions and publish relevant information to the public in an appropriate way.

Article 36 Before changing its legal representative, a chamber of commerce must accept the financial audit organized by the association registration authority and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Chamber of Commerce.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Chamber of Commerce shall be implemented with reference to the provisions of relevant state institutions. Article 39 The amendment to the articles of association of this Chamber of Commerce shall be approved by the board of directors and submitted to the general meeting of members for deliberation.

Article 40 The revised articles of association of this Chamber of Commerce shall come into effect within 15 days from the date of adoption by the general meeting after being examined and approved by the competent business unit and reported to the association registration authority for approval. Article 41 If this Chamber of Commerce completes its purpose, is dissolved or needs to be cancelled due to division or merger, it shall be terminated by a resolution of the Council or the Standing Council.

Article 42 The dissolution resolution of this Chamber of Commerce shall be approved by the general meeting of members and submitted to the competent business unit for approval.

Article 43 Before the termination of the Group, a liquidation organization must be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no other activities other than liquidation will be carried out.

Article 44 The Chamber of Commerce shall terminate after the cancellation of registration by the association registration authority.

Forty-fifth after the termination of the group's remaining property, under the supervision of the competent business unit and the organization registration authority, in accordance with the relevant provisions of the state, for the development of undertakings related to the purpose of the group. Article 46 The Articles of Association was reviewed and approved by the General Meeting of the Chamber of Commerce on October 20, 2007.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Chamber of Commerce.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
