How to understand the essence of equity
According to the purpose of exercising equity, the company law theory divides equity into "self-beneficial right" and "* * * beneficial right". "Self-interest right" is the property right in equity, and it is the right of shareholders to obtain economic benefits from the company, which is embodied in the right to benefit from assets (including dividends and bonuses), the right to transfer shares and the right to distribute surplus property (except bankruptcy). "* * * interest right" is the right of shareholders to participate in the company's affairs, and it is the right of shareholders to participate in the company's operation and management for the purpose of feeding back their own interests with the company's profits. No matter what the direct motivation of investors is, their ultimate goal is to seek the maximization of economic benefits. Self-interest right is the purpose and essence of shareholders' obtaining economic benefits, while * * * interest right is the means and right to ensure shareholders' obtaining economic benefits. The similarity of the ultimate goals of "self-interest right" and "* * * interest right" determines that they must be organically integrated into an internally unified right-equity.
