Anhui Logistics Association Constitution

Chapter I General

Article 1 The name of the Association of Anhui Province Logistics Association.

Chapter II Scope of business

Chapter III Membership

Article VIII The scope and conditions of the members applying for membership in the Association:

Article IX. The procedures for membership are:

Article XI Obligations of Members:

Chapter IV: Organization and the person in charge of the generation, removal

Article XIV The supreme authority of the Association is the General Assembly. The powers and functions of the general meeting are:

Article 19 The Council shall be convened with the attendance of more than 2/3 of the members, and its resolutions shall take effect with the vote of more than 2/3 of the members present.

Article 20 The Council shall be convened once a year.

Article 21 The Council establishes the Standing Council. The standing council shall be elected by the council. The Standing Council shall be composed of the President, Vice President and Secretary General.

Article 22 The Standing Council shall exercise the following powers and functions when the Council is not in session:

1, be responsible for the leadership of the Association;

2, formulate the work plan of the Association;

3, lead the activities of the Association's various working organizations;

4, convene academic conferences;

5, appoint the Deputy Secretary General and the head of subordinate organizations;

Article 26 If the president, vice-president and secretary-general of the Association exceeds the maximum age of office, they may hold office only after a vote by the Board of Directors, a review by the business unit in charge of the Association, and the approval of the association registration and management organs.

Article 27 The President, Vice President, Secretary General of the Association for a term of five years, the maximum shall not exceed two terms. Article 28 The president of the Association shall be the legal representative.

Article 29 The president of the Association shall exercise the following powers and functions:

2. check the implementation of the resolutions of the general meeting of the members and the council (or the executive council);

3. sign the relevant documents of the Association;

Chapter V. Principles of Asset Management and Utilization

Article 31 The funds of the Association must be used for the business scope and development of the cause as stipulated in the Articles of Association, and shall not be distributed among the members.

Article 32 The Association shall establish a strict financial management system to ensure that the accounting information is legal, true, accurate and complete.

Article 33 The Association's asset management to implement the financial management system prescribed by the state, and accept the General Assembly and the financial sector supervision. The source of assets belonging to the state appropriations or social donations, subsidies, accept the supervision of the audit authorities.

Article 34 The Society shall accept the financial audit organized by the registration authority of the society and the business unit before the change of term or replacement of the legal representative.

Article 35 The assets of the Association, any unit or individual shall not encroach upon, private and misappropriation.

Article 36 The salaries, insurance and welfare benefits of the full-time staff of the Association shall be implemented with reference to the relevant provisions of the state and to the institutions.

Chapter 6 Procedures for Revision of the Articles of Association

Article 37 Revisions to the Association's Articles of Association shall be reported to the General Meeting of the Members for deliberation after being voted on and approved by the Board of Directors.

Article 38 The revised statutes of the Association shall come into effect within seven days after the adoption by the general meeting of the members, after being examined and agreed by the business supervisory unit and reported to the registration authority of the association for approval.

Chapter VII Termination Procedures and Disposal of Property after Termination

Article 39 If the Association is dissolved on its own or needs to be canceled for other reasons, the Board of Directors or the executive director shall make a motion for termination.

Article 40 The motion of termination of the Association shall be voted by the general meeting of the members and reported to the supervisory unit for examination and approval.

Article 41 Before the termination of the Association, it shall set up a liquidation organization under the guidance of the business unit in charge and the relevant authorities to liquidate the debts and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation.

Article 42 The Association shall be terminated after the cancellation of registration procedures by the registration authority of the association.

Article 43 The remaining property after the termination of the Association shall be used for the development of undertakings related to the purposes of the Association in accordance with the relevant provisions of the state under the supervision of the business supervisory unit and the administrative organ of association registration.

Chapter VIII Bylaws

Article 44 No member shall carry out activities in the name of the Association without authorization and commission by the Board of Directors or the Executive Council.

Article 45 The lawful activities of the Association shall be protected by law, and no organization or individual shall dissolve the Association or terminate its activities without the consent of more than two-thirds of the members of the Association.

Article 46 The power of interpretation of these articles of association belongs to the council.

Article 47 The present articles of association shall come into effect on the date of approval by the administrative organ of association registration.
