Constitution of Jiangsu Arts and Crafts Association

Chapter 1 General Provisions

Article 1 The name of this organization is "Jiangsu Arts and Crafts Association" (hereinafter referred to as "the Association"), the English name JIANGSU ARTS & CRAFTS ASSOCTATION (abbreviated as JACA).

Article 2 The Association is composed of the main body of Jiangsu region arts and crafts industry enterprises voluntarily, in order to achieve the industry enterprises **** agreed to wish, in accordance with the Articles of Association to carry out the activities of non-profit social organizations, is the industry of social groups legal person.

Article 5 The residence of the Association is in Nanjing, Jiangsu Province.

Chapter 2 Scope of Business

Article 6 The scope of business of the Association:

(1) To carry out surveys, research and publication of basic information and dynamic situation of the whole industry, to provide the basis and suggestions for the government to formulate the industry development plan, economic and technological policies and relevant legislation, and to provide services for the enterprises to make decisions on the production and operation;

(2) To set up the industry self-disciplinary Mechanism to regulate industry self-management behavior, the development of industry codes of ethics and rules and regulations and supervise the implementation; to maintain fair competition in the industry and the legitimate rights and interests of enterprises; coordination of inter-enterprise relations, the organization of exchanges of experience as well as production, technology and business cooperation, and to promote the horizontal alliance;

Chapter III Membership

Article 7 The members of the Association shall be unit members and honorary members.

Any enterprise (including individual businessmen) engaged in the production, development and sale of arts and crafts and related scientific research and education units and social organizations established in accordance with the law may apply for admission as a unit member; .

Where the social celebrities, overseas compatriots, etc., who are keen to help the development of arts and crafts in our province, can be hired by the Association as honorary members.

Article 8 Members applying for membership in the Association must have the following conditions:

(1) adherence to the Constitution of the Association;

(2) willingness to join the Association;

(3) a certain degree of influence in the arts and crafts industry.

Article 9 The procedures for membership are:

(1) Submission of application for membership;

(2) Discussion and approval by the Board of Governors or its authorized body;

(3) Payment of current year's dues and the cost of membership card;

(4) Issuance of membership card by the Board of Governors or its authorized body.

Article 10 Members shall enjoy the following rights:

(1) The right to elect, to be elected, to recall and to vote of the Association;

(2) Participation in industrial activities organized by the Association;

(3) Priority in enjoying the services provided by the Association;

(4) Criticism and suggestion on the work of the Association and the right to supervise the work;

(v) Voluntary membership and free withdrawal from the Association.

Each member unit has one vote, and member units exercise the above rights through member representatives, who are generally the legal representatives of member units.

Article 11 Members shall fulfill the following obligations:

(1) To abide by the Articles of Association and implement the resolutions of the Association;

(2) To safeguard the lawful rights and interests of the Association;

(3) To take an active part in the activities of the Association and to complete the work assigned or entrusted by the Association;

(4) To reflect the relevant situation to the Association and to provide relevant information;

(v) To pay the dues as required.

Article 12 A member shall notify the Association in writing of his/her resignation and return his/her membership card.

Members who do not pay dues for 1 year or do not participate in the activities of the Association shall be regarded as automatically withdrawing from the Association.

Article 13 A member shall be removed from the Association by a vote of the Executive Council if he/she commits a serious violation of the Association's Articles of Association.

Chapter IV Organization and the generation and removal of the person in charge

Article XIV The Association shall have a membership system, and the members shall form the Members' Congress. The general meeting shall be the supreme authority of the association, and its powers and functions shall be:

(1) to formulate and amend the constitution of the association;

(2) to elect and dismiss the directors;

(3) to consider the work and financial reports of the board of directors, and to consider and deal with the proposals of the members;

(4) to discuss and determine the work guidelines, tasks and major issues of the association;

(5) to decide on the work of the association, and to make decisions on the work of the association;

Article 14 The association shall be organized as a membership system.

Article 15 The general meeting of the members shall be convened once every four years with the attendance of two-thirds of the members. Resolutions shall be effective only if they are passed by more than half of the members present.

(5) to decide on the admission or removal of members;

Article 19 The Board of Directors shall be convened with the attendance of more than two-thirds of the directors, and its resolutions shall take effect with the vote of more than two-thirds of the directors present.

Article 21 The Association shall establish a Standing Council. The Standing Council shall be elected by the Board of Directors (whose number shall not exceed 1/3 of the number of directors), and shall exercise the powers and functions as stated in items 1, 3, 5, 6, 7, 8 and 9 of Article 18 when the Board of Directors is not in session, and shall be responsible to the Board of Directors.

Article 22 The Standing Committee Council shall be convened with the attendance of more than 2/3 of the executive directors, and its resolutions shall be effective only if they are passed by the vote of more than 2/3 of the executive directors present.

Article 23 The Standing Council shall convene at least once every six months, and may be convened by the chairman temporarily. Special circumstances can also be convened in the form of communication.

Article 24 The chairman, vice-chairman and secretary-general of the Association must have the following conditions:

(1) adherence to the Party's line, policies and guidelines, and good political quality;

(2) greater influence in the Association's field of business;

(3) the chairman, vice-chairman and secretary-general of the Association's maximum age of 70 years old, the secretary-general For full-time;

(D) physical health, can adhere to normal work;

(E) has not been deprived of political power of criminal punishment;

(F) has full capacity for civil behavior.

Article 25 If the president, vice-president or secretary-general of the Association exceeds the maximum age of office, he or she shall hold office only after the vote of the Board of Governors, the examination of the Provincial Economic and Trade Commission and the approval and consent of the Provincial Department of Civil Affairs.

Article 26 The chairman of the Association, vice-chairman, secretary-general term of four years (the maximum term shall not exceed two terms). If the term of office needs to be extended due to special circumstances, it shall be voted by more than 2/3 of the member representatives at the general meeting of the members and reported to the Provincial Economic and Trade Commission for examination and approval by the Provincial Department of Civil Affairs before assuming office.

Article 27 The chairman of the board of directors shall be the legal representative of the Association, and shall not be the legal representative of other organizations.

Article 28 The chairman of the Association shall exercise the following powers and functions:

(1) to convene and preside over the Council (including the Executive Council);

(2) to check the implementation of the resolutions of the general meeting and the Council;

(3) to sign relevant important documents on behalf of the Association.

Article 29 The Association shall set up a Secretariat as an office, responsible for handling the daily work of the Association. The secretary-general shall exercise the following powers and functions:

(1) to preside over the daily work of the secretariat and organize the implementation of the annual work plan of the Association;

(2) to coordinate the work of the branches, representative bodies and entities;

(3) to nominate the vice-secretary-general as well as the main persons in charge of the offices, branches, representative bodies and entities, and submit them for the decision of the board of directors;

(4) to decide on the work of the Association ) Decide on the employment of full-time staff of the offices, branches, representatives and entity bodies;

(v) Handle other daily affairs.

Chapter 5: Principles of Asset Management and Utilization

Article 3: Sources of Funds of the Association:

(1) Membership fees;

(2) Donations;

(3) Government subsidies;

(4) Revenues from the activities or services within the approved scope of business;

(5) Interest;

Bed 31 The Association shall collect membership dues in accordance with the relevant state regulations. The standards of the grades and the methods of payment shall be formulated by the Board of Directors of the Association.

Article 32 The funds of the Association shall be used for the business scope and development of arts and crafts as stipulated in the Articles of Association and shall not be distributed among the members.

Article 33 The Association shall establish a strict financial management system and accounting methods to ensure that the accounting information is legal, true, accurate and complete.

Article 34 The Association shall be equipped with accountants with professional qualifications. The accountant shall not be the cashier at the same time. Accounting personnel must carry out accounting, accounting supervision. When accounting personnel transfer their jobs or leave their jobs, they must clear the handover procedures with the receiver.

Article 35 The Association's asset management must implement the financial management system stipulated by the state and accept the supervision of the general meeting and the financial department. If the source of the assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of the auditing authority and announce the relevant information to the society in an appropriate way.

Article 36 The Association must accept the financial audit organized by the Provincial Economic and Trade Commission and the Provincial Department of Civil Affairs before the change of the term of the Association or the replacement of the legal representative.

Article 37 The Association's assets, any unit or individual shall not encroach on, private and misappropriation.

Article 38 The salaries, insurance and welfare benefits of the full-time staff of the Association shall be implemented with reference to the relevant provisions of the State for public institutions.

Chapter 6 Procedures for Revision of the Articles of Association

Article 39 Revisions to the Articles of Association shall be reported to the general meeting of the members for consideration after being voted on and approved by the Board of Directors.

Article 40 The amended statutes of the Association shall come into effect after being examined and approved by the Provincial Economic and Trade Commission and reported to the Provincial Department of Civil Affairs for approval within 15 days from the adoption of the general meeting of members.

Chapter 7 Termination Procedures and Disposal of Property after Termination

Article 41 If the Association completes its purpose or dissolves itself or needs to be canceled due to separation or merger, the Board of Directors shall make a motion for termination.

Article 42 The motion of termination of the Association shall be voted by the general meeting of members and reported to the Provincial Economic and Trade Commission for examination and consent.

Article 43 Before the termination of the Association, a liquidation organization shall be set up under the guidance of the Provincial Economic and Trade Commission and the relevant authorities to liquidate the debts and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation.

Article 44 The Association shall be terminated after the cancellation of registration procedures by the Provincial Department of Civil Affairs.

Article 45 The remaining property after the termination of the Association shall be utilized for the development of undertakings related to the purposes of the Association in accordance with the relevant provisions of the State under the supervision of the Provincial Economic and Trade Commission and the Provincial Department of Civil Affairs.

Chapter VIII By-laws

Article 46 The By-laws were voted and adopted by the General Meeting of the members on April 17, 2009.

Article 47 The power of interpretation of these bylaws shall be vested in the Board of Directors of the Association.

Article 48 This Constitution shall come into effect on the date of approval by the Provincial Civil Affairs Bureau.
