Chapter I General Principles

The name of this chamber of commerce is Jinhua Wenzhou Chamber of Commerce. Zhou Wen (Jinhua) Chamber of Commerce.

Article 2 The nature of this Chamber of Commerce is: Wenzhou citizens of various economic sectors in Jinhua.

Non-profit non-governmental organizations composed of industrial and commercial enterprises, self-employed individuals and individuals voluntarily.

Chapter III Members

Article 8 All enterprises and individuals who recognize the articles of association of this Association and fulfill their membership obligations may become members of this Association.

Article 9 Members must meet the following conditions to join this Chamber of Commerce:

(a) Support the articles of association of this Chamber of Commerce;

(2) Having the will to join this Chamber of Commerce;

Article 10 The membership procedure is:

Article 11 Members shall enjoy the following rights:

Article 12 Members shall perform the following obligations:

(1) Implementing the resolutions of this Chamber of Commerce;

(two) to safeguard the legitimate rights and interests of this Chamber of Commerce;

(three) to complete the work assigned by the Chamber of Commerce;

(four) timely payment of membership fees in accordance with the provisions;

(five) to reflect the situation to the Chamber of Commerce and provide relevant information;

(six) to handle other matters entrusted by the Chamber of Commerce.

Thirteenth members should report to the Chamber of Commerce in writing when they leave the meeting, and return their membership cards and membership cards. If the payment time exceeds one year, members should take the initiative to pay the membership fee for the next year in time. Those who fail to pay the fee within 45 days after the office notice when the payment time is up are deemed to have withdrawn automatically.

Article 14 Members who have seriously violated the Articles of Association or committed serious illegal acts such as producing and selling fake and inferior products shall be removed from the list after being voted by the board of directors or the president's office meeting.

The highest authority of the organization and the person in charge of the Chamber of Commerce is the general meeting of members (or the general meeting of members), and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

Article 15 A general meeting (or representative meeting) must have more than 1/2 members (or representative meeting).

Article 16 The term of office of the general assembly (or representative assembly) is four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the board of directors, reported to the competent business unit for examination and approval, and approved by the registration authority of the association. However, the term of office shall not be extended for more than one year.

Article 17 The Council is the executive body of the general assembly (or congress), and the leading chamber of commerce conducts its daily work during the intersessional period and is responsible for the general assembly (or congress).

Article 18 The functions and powers of the Council are:

(a) Implementing the resolutions of the General Assembly;

(two) to elect or recall the president, vice president and secretary general;

(3) Preparing for convening a general meeting of members (or a general meeting of members' representatives);

(four) to report the work and financial situation to the general assembly (or representative assembly);

(five) to decide on the recall of members, and entrust the office to be responsible for the qualification examination and the absorption of new members.

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the work of various institutions of the Chamber of Commerce;

(nine) to formulate internal management system;

(10) To decide on other major matters;

Article 19 The board of directors shall be convened only when more than 65,438+0/2 directors are present, and its resolutions shall be attended.

It takes effect only if the directors vote more than 1/2.

Article 20 The Council shall hold a meeting at least once a year, which may be adopted under special circumstances.

Article 21 The Chamber of Commerce shall set up an office meeting of the president. The president's office meeting consists of the president, the secretary-general and the vice president. When the Council is not in session, it shall exercise the functions and powers of Article 18, items 1, 3, 5, 6, 7, 8 and 9, and be responsible to the Council.

Article 22 The president's office meeting can only be held when more than 65,438+0/2 members are present, and its resolution can only take effect when more than 65,438+0/2 members are present.

Article 23 The president's office meeting shall be held at least once every quarter; Special circumstances can also be held in the form of communication.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) Having great influence in the business field of this Chamber of Commerce;

(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time; Under special circumstances, you can work part-time upon the decision of the board of directors.

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Twenty-fifth the president, vice president and secretary general of this association must be over the maximum working age.

With the approval of the board of directors, it shall be reported to the competent business unit for examination and registration.

Article 26 The term of office of the President, Vice President and Secretary General of this Chamber of Commerce is four years (President, Vice President,

Article 27 The president of the Chamber of Commerce is the legal representative of the Chamber of Commerce. The legal representative of this chamber of commerce does not.

Article 28 The president of the Chamber of Commerce shall exercise the following functions and powers:

(a) to convene and preside over the Council (or the Standing Council);

(two) to check the implementation of the resolutions of the general assembly (or the general assembly) Council (or the Standing Council);

(3) Signing relevant important documents on behalf of the Chamber of Commerce;

(4) Examining financial expenditures and signing relevant documents.

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Principles of asset management and use Article 30 Sources of funds of this Chamber of Commerce:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 31 The Chamber of Commerce shall collect membership dues in accordance with the relevant provisions of the state (the annual collection standard of membership dues may be adjusted annually according to the development of the Chamber of Commerce and the actual situation of its members, and shall be decided by the Standing Council).

Article 32 The funds of this Chamber of Commerce must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 33 A chamber of commerce shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 34 This Chamber of Commerce is equipped with accountants with professional qualifications. Act in strict accordance with the accounting law.

Article 35 The asset management of this Chamber of Commerce must implement the financial management system stipulated by the state and accept the supervision of the general assembly (or representative assembly) and the local financial department. If the source of assets belongs to state appropriations, social donations or subsidies, it must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.

Article 36 Before changing its legal representative, a chamber of commerce must accept the financial audit of the social registration authority and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Chamber of Commerce.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Chamber of Commerce shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 39 The amendment to the articles of association of this Chamber of Commerce shall be approved by the board of directors and submitted to the general meeting of members for deliberation.

Article 40 The revised articles of association of this Chamber of Commerce shall come into effect within 15 days after being adopted by the general meeting of members, reviewed and agreed by the competent authorities and approved by the registration authority of the association.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If a chamber of commerce completes its purpose or is dissolved due to division or merger or needs to cancel its registration, the board of directors or the president's office meeting shall propose a termination motion.

Article 42 The motion to terminate this Chamber of Commerce must be voted by the general meeting of members (or the general meeting of members) and approved by the competent business unit.

Article 43 Before the termination of this Chamber of Commerce, a liquidation organization shall be established under the guidance of the competent business unit and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 The Chamber of Commerce shall terminate after the cancellation of registration by the association registration authority.

Article 45 The remaining property after the termination of this Association shall be used to carry out the business related to the purpose of this Association under the supervision of the competent business unit and the registration administration organ of this Association in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the shareholders' meeting on June 25, 2009.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Chamber of Commerce.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
