Chapter I General Principles

Article 1 Name of the Association: China Traditional Culture Promotion Association.

Chinese name: China Traditional Culture Promotion Association.

Article 2 The China Association for the Promotion of Traditional Culture is a state-level social organization legal person composed of individuals and units who love China's traditional culture and have certain accomplishments in it.

Article 3 Purpose of the Association (omitted)

Article 4 This Association shall abide by the Constitution, laws, regulations and national policies. Accept the business guidance, supervision and management of the competent department (Ministry of Culture of People's Republic of China (PRC)) and the social organization registration and management authority (Ministry of Civil Affairs of the People's Republic of China).

Chapter II Scope of Business

Chapter III Members

Article 7 Members of this Association are divided into unit members and individual members.

Article 8 All artists, scholars, cultural experts and sponsors who support the articles of association and have made outstanding achievements in promoting China's traditional culture, as well as units that voluntarily participate in the activities of the association, may become members of the association with the approval of the Standing Council.

Article 9 Membership procedures:

(1) submitting an application for membership;

(two) discussed and approved by the Standing Council;

(3) A membership card shall be issued by the Council.

Article 10 Rights of Members

The right to vote, to be elected and to vote;

(two) to participate in activities organized by the association;

(three) to obtain the priority of our services;

(four) have the right to suggest and supervise the work of this association;

(5) Freedom to join and quit voluntarily.

Article 1 1 Obligations of Members

(1) Abide by the articles of association of this Association and implement the resolutions of this Association;

(two) to safeguard the legitimate rights and interests of the association;

(three) to assist the association to carry out various activities and complete the work assigned by the association;

(4) Pay membership fees according to regulations.

Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in activities for one year, it will be deemed as automatic withdrawal.

Article 13 If a member commits serious violation of the Articles of Association or other illegal acts, he/she shall be removed from the membership by voting of the board of directors.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

Fifteenth members' congress must be attended by more than two thirds of the members' representatives, and its resolutions must be voted by more than half of the members' representatives to take effect.

Article 16 The general meeting of members shall be held every five years. If the meeting needs to be held in advance or postponed due to special circumstances, it must be voted by the board of directors, reported to the competent business authority for review, and approved by the registration authority. However, the longest extension shall not exceed 1 year.

Article 17 When the general meeting is not in session, the Council shall lead the work of the Association and be responsible to the general meeting.

Article 18 Functions and powers of the Council

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president and secretary general;

(3) To elect and recall members of the Council;

(four) to prepare for the convening of the members' congress;

(five) to report the work and financial situation to the members' congress;

(six) to examine and approve the acceptance or expulsion of members of the association;

(7) Deciding to establish offices, branches, representative offices and entities;

(eight) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(nine) to formulate internal management system;

(10) To decide on other major matters.

Article 19 A meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolutions can only take effect after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year, and in special circumstances, it shall be convened by means of communication.

Article 21 The Council shall be elected by the general meeting of members.

Article 22 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies and good political quality;

(2) It has great influence in the business field of the Association;

(three) the age is not more than 70 years old, and the secretary general is full-time in principle;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 23 The term of office of the President, Vice-President and Secretary-General of this Association is five years, with a maximum of two consecutive terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the directors present at the Council, reported to the competent business authority for review, and approved by the registration authority before taking office.

Article 24 The president of this Association shall be the legal representative of this Association. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.

Article 25 The President of this Association shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation of the resolutions of the Council and the Standing Council of the member congresses;

(3) Signing relevant important documents on behalf of the Association;

(4) Nominating candidates for the Secretary-General.

Article 26 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office; Organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of various offices, branches, representative offices and organizations, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff in offices, representative offices and major institutions;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Article 27 Sources of funds of the Association

(1) Membership fees paid by members.

(2) government funding.

(3) donations from society and overseas people.

(4) Income from paid services.

(5) interest.

(6) Other lawful income.

Article 28 The Association shall collect membership fees in accordance with the relevant provisions of the State.

Article 29 The funds of this group must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 30 This Association shall establish a strict financial system in accordance with regulations to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 31 An association shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 32 The asset management of this Association shall implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation, it must accept the supervision of the audited entity and publish relevant information to the society in an appropriate way.

Article 33 An association shall accept the financial audit organized by the Ministry of Culture and the Ministry of Civil Affairs before the general election or the replacement of its legal representative.

Article 34 No unit or individual may occupy, privately divide or misappropriate the assets of the Association.

Article 35 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-sixth amendments to the articles of association of this association must be submitted to the members' congress for deliberation.

Article 37 The amendment to the Articles of Association's procedures shall take effect within 15 days after it is approved by the members' congress, the competent business department and the administrative organ of social organizations.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 38 If an association has fulfilled its purpose or is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 39 The motion to terminate the association shall be voted by the members' congress and submitted to the Ministry of Culture for examination and approval.

Fortieth before the termination of this association, a liquidation organization shall be established under the guidance of the Ministry of Culture and relevant competent departments to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 41 The Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.

Article 42 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the Ministry of Culture and the Ministry of Civil Affairs in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 43 The Articles of Association was adopted by the members' congress on March 1 2065438.

Article 44 The right to interpret the Articles of Association belongs to the members' congress of the Association.

Article 45 The Articles of Association shall come into force as of the date of approval by the social organization registration authority.
