Conditions and procedures for establishing provincial traditional cultural associations

Take Guangdong Province as an example

Examination and approval: to examine the establishment, alteration and cancellation of the provincial Federation of Industry and Commerce.

Basis of laws and regulations:

1. Article 3 of the Regulations on the Administration of Registration of Social Organizations 9-10, 19 -22, 24, 28, 30-31;

2. Articles 3, 5 and 1 1 of the Measures for the Registration of Branches and Representative Offices of Social Organizations (Decree No.23 of the Ministry of Civil Affairs);

3. Adjustment Catalogue of the Third Round of Administrative Approval Items of Guangdong Provincial People's Government (Second Batch) (DecreeNo. 10 of the provincial government). 106);

4. Notice of the Provincial Civil Affairs Department on Printing and Distributing the Interim Measures for the Annual Inspection of Non-governmental Organizations in Guangdong Province (Yue Min She [1999] No.46);

5. Notice on Issuing the Measures for the Administration of Associations of Guangdong Economic and Trade Commission (Guangdong Economic and Trade Regulation [2006] No.874).

Scope and conditions of examination and approval:

1. The preparation of the provincial-level Federation of Industry and Commerce should meet the following conditions: ① it meets the needs of industrial and commercial and economic development in our province; (2) It has a clear business scope, and the business scope of the association is within the functional scope of the Economic and Trade Commission and cannot be the same as or similar to the existing provincial-level Federation of Industry and Commerce; There are more than 50 individual members or more than 30 unit members, and the total number of members shall not be less than 50; (4) Having a standardized name and corresponding organization; (5) Having a fixed residence; ⑥ There are more than 3 full-time staff members who are suitable for their business activities; All landowners have legitimate assets and funding sources, and there are more than 30,000 yuan of activity funds; Be able to bear civil liability independently.

2. The conditions for the establishment of branches and representative offices of provincial federations of industry and commerce are as follows: ① the Council or the Standing Council agrees to pass; (2) Standardized names; (3) Having a fixed residence; (4) Having the business scope stipulated in the articles of association.

3. Provincial Federation of Industry and Commerce change conditions: the change must be passed by voting in accordance with the procedures stipulated in the articles of association.

4. Cancellation conditions of provincial-level Federation of Industry and Commerce: ① The purpose stipulated in the articles of association has been completed and passed by the general meeting or representative meeting; (2) Dissolution by itself; (3) Separation and merger; (4) Termination for other reasons. The cancellation of the association shall be decided by the board of directors, and a liquidation group shall be established for liquidation.

5. The annual inspection of provincial federation of industry and commerce shall meet the following conditions: ① Abide by the Constitution, laws, regulations and national policies; (two) to carry out activities in accordance with the articles of association, and there is no violation of law and discipline; (3) The financial system is sound, and the revenue and expenditure conform to the relevant provisions of the state; (four) in accordance with the provisions of the timely registration of changes in the establishment of branches and representative offices; ⑤ The leading group is sound, operating normally, the management system is sound, and the work is carried out according to democratic procedures; ⑥ Accept the annual inspection within the specified time limit.

Workflow: Applicants submit applications → Provincial Economic and Trade Commission for review.

Application materials:

(a) the materials to be submitted in preparation for the establishment of the provincial Federation of Industry and Commerce:

1. Materials to be submitted for the preparatory meeting: ① written application; ② Draft articles of association; (3) Basic information and identity certificates of the promoters and the person-in-charge to be appointed; (4) proof of activity funds; ⑤ Proof of property right or use right of office residence.

2. Materials to be submitted for the establishment of the association: ① written application; (2) Minutes of the general meeting of members. ③ Articles of Association that have been reviewed and approved; (four) the composition and responsibilities of the executive body of the association; ⑤ Resume of the person in charge above the Secretary-General of the Association; 6. List of members; All landowners other materials required by the registration authority.

(two) the materials to be submitted by the provincial Federation of Industry and Commerce to set up branches and representative offices:

1. Written application;

2. Resolutions of the Council or the Standing Council agreeing to establish branches and representative offices;

3. Resume of the proposed person in charge;

4. Proof of the property right or right to use the office residence;

5. Registration form of the branch (representative) of the association (in triplicate).

(three) the materials to be submitted for the change of the provincial Federation of Industry and Commerce:

1. Written application;

2. The resolution that the Council or the Standing Council agrees to change;

3. If the articles of association are amended, the draft articles of association that have been reviewed and approved and the explanation for the amendment shall be provided;

4. If the office residence is changed, provide proof of the property right or use right of the office residence;

5. If the activity funds change, provide the capital verification report of the audit institution;

6. If the legal representative is changed, an audit report issued by an accountant or audit firm shall be provided;

7. If the business unit is changed, the documents agreed by the original business unit shall be provided.

(four) the materials to be submitted for the cancellation of the provincial Federation of Industry and Commerce:

1. In case of dissolution according to the articles of association and resolutions of the board of directors, provide an application report and resolutions of the board of directors;

2. The composition of the liquidation group and the liquidation report submitted by the liquidation group;

3. An application for cancellation signed by the legal representative;

4. A copy of the registration certificate of corporate associations and the registration certificate of branches and representative offices of social organizations.

(five) the materials to be submitted for the annual inspection of the provincial Federation of Industry and Commerce:

1. Annual inspection report of social organizations (in triplicate);

2. Review opinions of the Council or the Standing Council on the annual revenue and expenditure report;

3. Other materials that need to be submitted.

Time limit for completion:

1. The Provincial Economic and Trade Commission shall submit written examination opinions within 20 working days from the date of accepting the application for the preparation and establishment of the provincial Federation of Industry and Commerce, as well as the establishment, change or cancellation of the branches and representative offices of the associations.

2. The annual inspection of the Provincial Federation of Industry and Commerce shall submit the annual inspection materials of the previous year to the Provincial Economic and Trade Commission before March 3 1 every year. The Provincial Economic and Trade Commission shall put forward written examination opinions within 20 working days from the date of acceptance.
